ACE Web Services may provide services including, but not limited to:

3. Eligibility
Our website and services are intended for businesses and individuals who are at least
18 years old. By using our website or services, you represent that you have the legal
authority to enter into these Terms on your own behalf or on behalf of the business or
organization you represent.
4. Proposals, Quotes, and Service Scope
Any proposal, estimate, quote, audit, consultation, or recommendation provided by ACE is
based on the information available at the time it is prepared. Service scope may change if
project requirements, client requests, third-party platform limitations, technical issues,
business goals, or required deliverables change.
Additional work outside the agreed scope may require additional fees, a revised proposal,
or written approval before work continues. ACE is not required to perform services that are
outside the agreed scope without additional compensation.
5. Client Responsibilities
To allow ACE to perform services properly, clients are responsible for:
Providing accurate and complete business, project, and account information
Providing timely access to websites, hosting, domains, advertising accounts, analytics tools, ecommerce platforms, CRM systems, and other required systems
Reviewing and approving designs, content, campaigns, reports, settings, and deliverables in a timely manner
Ensuring that submitted content, images, videos, logos, customer data, product information, and business materials are lawful and authorized for use
Maintaining ownership and control of their business accounts, passwords, domains, subscriptions, and third-party platforms
Complying with applicable laws, platform policies, advertising rules, privacy requirements, and industry regulations
Delays in providing required information, access, approvals, feedback, or payment may delay
project timelines and service delivery.
6. Account Access and Credentials
Clients may provide ACE with access to websites, hosting accounts, domain accounts,
ecommerce platforms, advertising accounts, analytics accounts, CRM platforms, social media
accounts, marketplace accounts, automation tools, or other business systems.
ACE will use such access only for authorized project work. Clients remain responsible for
the security, accuracy, ownership, and proper authorization of all access provided to ACE.
We recommend using role-based access, temporary access, two-factor authentication, and
revoking access when a project ends.
7. Fees, Payments, Cancellations, and Refunds
Fees for services will be stated in the applicable proposal, invoice, checkout page,
subscription plan, service agreement, order form, or written communication between you
and ACE Web Services. Unless otherwise agreed in writing, payment is due according to
the payment terms shown on the invoice, proposal, agreement, or service plan.
ACE may require deposits, upfront payments, milestone payments, monthly retainers,
recurring subscriptions, or full payment before beginning or continuing work.
Custom Services
Many ACE services are custom and performed specifically for each client’s business,
website, accounts, goals, market, brand, or systems. Custom services may include
website development, ecommerce setup, advertising setup, SEO work, marketplace support,
social media strategy, AI automation, CRM workflows, brand strategy, creative services,
consulting, audits, and business growth recommendations.
Because custom services require time, labor, planning, strategy, technical work,
creative work, account setup, project management, and professional expertise, payments
are generally non-refundable once work has started, unless otherwise stated in a written
agreement signed or approved by ACE.
When Work Is Considered Started
Work may be considered started once ACE begins any service-related activity, including
consultation, discovery, research, strategy, planning, account review, design,
development, advertising account work, SEO work, content planning, automation setup,
CRM configuration, chatbot setup, creative direction, project management, reporting,
communication with the client regarding the service, or other preparation connected to
the project.
Monthly Services, Retainers, and Subscriptions
Monthly services, retainers, and subscription-based plans may include ongoing website
support, advertising management, SEO support, automation support, content support,
marketplace support, consulting, reporting, optimization, or other recurring services.
Unless otherwise stated in a written agreement, monthly services may be canceled before
the next billing cycle. Cancellation stops future billing but does not automatically
refund the current billing period, completed work, work in progress, reserved service
time, third-party fees, or costs already incurred.
If a client cancels during an active billing period, ACE may continue providing services
through the end of the paid period, or may stop work upon cancellation depending on the
nature of the service, account status, and applicable agreement.
Project Cancellation by Client
A client may request to cancel a project by contacting ACE in writing. Cancellation is
not effective until ACE confirms the cancellation request in writing.
If a client cancels a project after work has started, ACE may calculate any remaining
balance, credit, partial refund, or amount owed based on work already completed, work
currently in progress, project planning time, strategy time, research, design,
development, setup, configuration, third-party costs, reserved production time, and any
terms stated in the applicable proposal, invoice, agreement, or written communication.
Third-Party Costs and External Fees
Third-party costs are not controlled by ACE and are generally non-refundable. These may
include advertising spend, domain registration fees, hosting fees, plugin fees, theme
fees, app fees, software subscriptions, stock images, fonts, videos, templates, payment
processor fees, email platform fees, SMS fees, CRM fees, automation platform fees, AI
platform fees, marketplace fees, ecommerce platform fees, or third-party contractor,
vendor, or specialist fees.
If third-party costs are paid directly by the client, the client must contact the
third-party provider for any refund or cancellation request. If ACE pays third-party
costs on behalf of the client, those costs may be deducted from any refund review or
billed separately.
Client Delays
Project timelines and service delivery depend on timely client cooperation. Delays in
providing required information, access, content, approvals, feedback, payment, or other
materials may delay the project or service delivery.
Delays caused by the client do not create an automatic right to a refund. If a project
remains inactive for an extended period because of missing client input, ACE may pause,
close, or re-scope the project. Additional fees may apply to restart inactive projects.
Late or Missed Payments
Late payments may result in paused services, delayed deliverables, suspension of access,
cancellation of active work, or additional late fees where permitted by law.
The client remains responsible for amounts owed for completed work, active service
periods, third-party costs, and agreed project fees.
No Refunds Based on Business Results
ACE provides professional digital growth services, strategy, execution, technical
support, creative support, consulting, and optimization. However, ACE does not guarantee
specific sales, leads, rankings, traffic, ad approval, conversion rates, return on ad
spend, followers, engagement, revenue, or business growth unless expressly stated in a
separate written agreement signed by ACE.
Refunds are not provided solely because a client does not achieve expected business
results, including sales, leads, search rankings, website traffic, advertising
performance, conversion rates, return on ad spend, social media growth, revenue, or
customer acquisition.
Refund Review
If a client believes a refund or credit should be considered, the client may contact ACE
in writing at info@acewebservice.com.
ACE will review the request based on the service type, project stage, completed work,
work in progress, third-party costs, written agreement terms, and applicable law.
Any refund, partial refund, credit, service adjustment, or cancellation approval is at
ACE’s discretion unless otherwise required by law or stated in a written agreement.
8. Advertising and Marketing Services
ACE may help clients plan, create, manage, monitor, or optimize advertising campaigns on
platforms such as Google, Meta/Facebook, Instagram, Microsoft/Bing, LinkedIn, TikTok, or
other advertising channels.
Clients are responsible for advertising budgets, ad spend, product claims, landing page
claims, offers, promotions, legal compliance, and platform policy compliance. Advertising
platforms may reject, restrict, pause, suspend, or modify campaigns or accounts at their
discretion.
ACE does not guarantee specific ad performance, approval, sales, leads, conversion rates,
return on ad spend, search ranking, account status, or revenue results.
9. Website and Ecommerce Services
ACE may provide website design, development, ecommerce setup, landing pages, conversion
optimization, integrations, performance improvements, maintenance, and related services.
Clients are responsible for the accuracy, legality, and approval of website content, product
information, pricing, claims, policies, shipping information, tax settings, payment settings,
terms, privacy notices, and ecommerce operations.
Website performance, speed, uptime, compatibility, ranking, security, and functionality may
depend on third-party hosting providers, themes, plugins, payment processors, ecommerce
platforms, APIs, browsers, devices, and external services that ACE does not fully control.
10. SEO and Organic Growth Services
SEO and organic growth services may include technical recommendations, keyword research,
content strategy, on-page optimization, site structure improvements, analytics review,
performance tracking, and related services.
Search engines use proprietary algorithms and may change rankings, policies, indexing, and
search results at any time. ACE does not guarantee specific search rankings, traffic levels,
indexing, leads, sales, or revenue from SEO services.
11. AI Automation and Sales Systems
ACE may design, configure, or support AI chatbots, lead capture systems, CRM workflows,
sales follow-up automations, email/SMS automations, customer support flows, and related
AI-powered business systems.
AI systems may produce inaccurate, incomplete, unexpected, or inappropriate outputs. Clients
are responsible for reviewing, testing, monitoring, and approving AI workflows, scripts,
prompts, responses, automations, customer-facing messages, and compliance requirements.
Clients should not submit highly sensitive personal information, regulated data, confidential
information, or legally restricted data into AI systems unless proper safeguards, approvals,
and compliance controls are in place.
ACE does not use client-provided confidential business data to train public AI models unless
expressly agreed in writing. Third-party AI platforms may process submitted information
according to their own terms and privacy policies.
12. Content, Materials, and Approvals
Clients are responsible for providing accurate, lawful, and authorized content and materials,
including text, images, videos, logos, product information, customer data, testimonials,
business claims, advertising claims, and brand assets.
If a client approves or publishes content, campaigns, designs, automations, website pages,
ads, emails, or other deliverables, the client is responsible for the use of those materials
in their business.
13. Intellectual Property
Unless otherwise agreed in writing, ACE retains ownership of its pre-existing materials,
methods, templates, processes, frameworks, tools, know-how, internal systems, code libraries,
design systems, strategy models, and general business knowledge.
Upon full payment, clients generally receive the right to use final deliverables created
specifically for the client, subject to any third-party licenses, platform terms, stock asset
restrictions, software subscriptions, plugin licenses, or written agreement terms.
Clients may not copy, resell, redistribute, reverse engineer, or misuse ACE’s proprietary
processes, templates, systems, training materials, or internal methods without written permission.
14. Third-Party Platforms, Tools, and Services
ACE services may involve third-party platforms, including hosting providers, domain registrars,
WordPress, WooCommerce, Shopify, Google, Meta, Microsoft, LinkedIn, TikTok, Amazon, Walmart,
eBay, CRM systems, analytics tools, email marketing platforms, AI platforms, payment processors,
scheduling tools, and other software or service providers.
ACE is not responsible for third-party platform outages, bugs, policy changes, pricing changes,
account suspensions, data loss, security incidents, rejected ads, plugin conflicts, API changes,
or service interruptions caused by third-party providers.
15. No Guaranteed Results
ACE works to provide professional services and practical business recommendations. However,
business growth, sales, leads, traffic, rankings, conversion rates, advertising performance,
revenue, or customer acquisition results depend on many factors outside ACE’s control.
These factors may include market demand, pricing, offer quality, competition, customer behavior,
website quality, product quality, budget, business operations, platform algorithms, economic
conditions, and client responsiveness.
ACE does not guarantee specific results unless expressly stated in a separate written agreement
signed by ACE.
16. Confidentiality
During a project, either party may receive confidential business, technical, financial,
marketing, customer, or operational information from the other party. Each party agrees to use
reasonable care to protect confidential information and to use it only for the purpose of
providing or receiving services.
Confidentiality obligations do not apply to information that is publicly available, already
known, independently developed, lawfully received from another source, or required to be
disclosed by law.
17. Prohibited Use
You agree not to use ACE’s website, services, systems, or deliverables to:
Violate any law, regulation, contract, platform policy, or third-party right
Submit false, misleading, fraudulent, infringing, defamatory, or unlawful content
Misuse advertising platforms, analytics tools, AI systems, or customer data

18. Disclaimers

ACE disclaims all warranties to the fullest extent permitted by law, including implied

19. Limitation of Liability
To the fullest extent permitted by law, ACE Web Services and its owners, employees,
contractors, partners, and service providers will not be liable for indirect, incidental,
special, consequential, exemplary, or punitive damages, including lost profits, lost revenue,
lost data, lost business opportunities, advertising losses, platform suspensions, or business
interruption.
To the fullest extent permitted by law, ACE’s total liability for any claim related to the
website or services will not exceed the amount paid by the client to ACE for the specific
service giving rise to the claim during the three months before the claim arose.
20. Indemnification
You agree to defend, indemnify, and hold harmless ACE Web Services and its owners, employees,
contractors, partners, and service providers from and against claims, damages, losses,
liabilities, costs, and expenses arising from your business, your content, your products or
services, your customer data, your violation of these Terms, your violation of law, or your
misuse of ACE’s services or deliverables.
21. Termination
ACE may suspend or terminate services if a client fails to pay, fails to provide required
access or information, violates these Terms, violates platform policies, engages in unlawful
activity, misuses ACE services, or creates unreasonable risk for ACE or its service providers.
Termination does not eliminate payment obligations for completed work, active subscriptions,
third-party costs, advertising spend, software fees, or other amounts owed.
22. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of
law principles. Any disputes arising from these Terms or ACE’s services will be handled in the
appropriate courts located in New York, unless otherwise required by applicable law or agreed
in writing.
23. Changes to These Terms
ACE may update these Terms from time to time. When we update them, we will revise the “Last
Updated” date above. Your continued use of our website or services after changes are posted
means you accept the updated Terms.
